These Terms & Conditions (“Terms”) govern your use of the website at codevel.com and the software, web and digital services provided by CodeVel Technologies (“CodeVel”, “we”, “us” or “our”), a software company based in Warangal and Hanamkonda, Telangana, India. Please read these Terms carefully before engaging our services.

1. Acceptance of Terms

By accessing our website, requesting a quote, or engaging us to provide services, you confirm that you have read, understood and agree to be bound by these Terms. If you do not agree with any part of these Terms, please do not use our website or services. Where you accept these Terms on behalf of a company or organisation, you represent that you are authorised to do so.

2. Our Services

CodeVel provides software development services including, but not limited to, website development, web application development, mobile app development, custom software development, e-commerce development, digital marketing, SEO and business listing services. The specific scope, deliverables, timelines and pricing of any engagement will be set out in a separate proposal, quotation or statement of work agreed in writing between us.

3. Quotes & Payments

• Quotes and estimates are valid for the period stated in the proposal, or 30 days where no period is specified.
• Unless otherwise agreed, projects begin only after an advance payment and acceptance of the proposal.
• Payments are due in accordance with the milestones or schedule set out in your proposal or invoice.
• All fees are exclusive of applicable taxes, including GST, which will be added where required by law.
• Late payments may result in the suspension of work and may attract interest at the rate permitted by law.

4. Project Scope & Revisions

The work we deliver is based on the scope agreed in your proposal. A reasonable number of revisions is included as specified in that proposal. Any additional features, changes to the agreed scope, or work beyond the original brief (“change requests”) may affect the timeline and cost and will be quoted and agreed separately before we proceed.

5. Intellectual Property & Ownership

Upon full and final payment of all fees due for a project, ownership of the final deliverables we create specifically for you (such as custom code, designs and content) transfers to you, unless otherwise agreed in writing. Until payment is received in full, all work product remains the property of CodeVel.

We retain ownership of our pre-existing tools, frameworks, libraries, know-how and any generic components used to build your project, and may reuse these on other engagements. Third-party software, plugins, fonts, images and licences remain the property of their respective owners and are subject to their own terms. Unless you ask us not to, we reserve the right to display and reference completed work in our portfolio and marketing.

6. Client Responsibilities

To help us deliver your project successfully and on time, you agree to:

• Provide accurate, complete information, content, assets and access required for the work.
• Review deliverables and provide feedback or approvals within agreed timeframes.
• Ensure you hold the necessary rights and licences for any materials you supply to us.
• Make payments in accordance with the agreed schedule.

Delays in providing content, feedback or approvals may affect project timelines and costs.

7. Warranties & Disclaimers

We deliver our services with reasonable skill and care and in a professional manner. Following launch, we provide a defect-fixing period as stated in your proposal to correct bugs in the originally delivered scope at no additional cost. Beyond this, our website and services are provided “as is” and “as available”, and we make no warranties that the services will be uninterrupted, error-free, or that results such as specific search rankings, traffic or sales will be achieved.

8. Limitation of Liability

To the fullest extent permitted by law, CodeVel shall not be liable for any indirect, incidental, special, consequential or punitive damages, or any loss of profits, revenue, data or goodwill arising out of or in connection with our services. Our total aggregate liability for any claim relating to a project shall not exceed the total fees actually paid by you to us for that specific project.

9. Third-Party Services

Our work may rely on or integrate third-party services such as hosting providers, payment gateways, plugins, APIs and analytics tools. These are governed by their own terms and pricing, and we are not responsible for their availability, performance, changes or discontinuation. Any fees charged by third-party providers are your responsibility unless otherwise agreed.

10. Termination

Either party may terminate an engagement by written notice if the other party materially breaches these Terms or the agreed proposal and fails to remedy the breach within a reasonable period. On termination, you remain liable for all fees for work completed and costs incurred up to the date of termination. Provisions relating to payment, intellectual property, liability and governing law survive termination.

11. Confidentiality

Both parties agree to keep confidential any non-public information disclosed during an engagement and to use it only for the purpose of delivering or receiving the services. This obligation continues after the engagement ends.

12. Governing Law & Jurisdiction

These Terms are governed by and construed in accordance with the laws of India. The courts of Warangal, Telangana shall have exclusive jurisdiction over any dispute arising out of or in connection with these Terms or our services, subject to applicable law.

13. Changes to These Terms

We may update these Terms from time to time to reflect changes in our services, business practices or legal requirements. The latest version will always be published on this page with an updated “Last updated” date. Your continued use of our website or services after any change constitutes acceptance of the revised Terms.
